Terms of Service

Draft pending legal review These terms are a working draft and have not yet been reviewed by counsel. They cover how the service is used. The commercial terms of your engagement (your setup fee, your monthly retainer, and what is in scope) are the ones written on the quote and invoice we send you, and those control if anything here disagrees with them. We'll notify you of material changes in writing.

1. The service

Kaizen Shift Inc. ("we," "us") provides Proposal System ("the service"), a hosted multi-tenant platform at proposal-system.kaizenshift.com for creating, sending, and tracking sales proposals and invoices, including the maintenance and property-services workflow (voice capture, recurring invoicing, GST-compliant PDFs). Accounts are set up and provisioned by us as part of a paid setup engagement; there is no self-serve signup. By using the service, you ("you," "customer") agree to these terms.

2. Your account

You're responsible for keeping your password secure and for everything that happens under your account. Tell us immediately if you suspect unauthorized access. We recommend setting a strong password and never sharing it.

You must be at least 18 years old and authorized to enter into a contract on behalf of any business you represent on the service.

You own the content you put into the service — your customers, invoices, line items, branding, integrations. We process this data on your behalf to operate the service. See our Privacy Policy for details on what we collect and how we use it.

You can request a full export of your data (CSV and PDF) at any time at no charge, and request deletion when you cancel. Export is handled by us on request; there is no self-service export button in the app today. We aim to keep deletion timelines short but reserve up to 30 days for archival/backup propagation.

5. Fees and billing

The service is sold as a done-for-you engagement, not a self-serve subscription. There are two charges: a one-time setup fee (currently $750 to $1,500 CAD, scoped to the size of your operation) and a monthly retainer (currently $75 to $125 CAD per month) that starts once your workspace is live. Your exact amounts are the ones stated on the quote and invoice we send you.

Both are billed by invoice, payable by e-transfer or card. We do not keep a card on file and nothing is charged automatically unless you ask us to set that up. Retainer pricing can change with 30 days' notice by email; the setup fee is fixed once quoted.

You can cancel the monthly retainer at any time by telling us in writing. Cancellation takes effect at the end of the month you have already paid for; we don't issue prorated refunds for unused time, and the setup fee is not refundable once the workspace has been built.

If an invoice goes unpaid, your account moves to "past due" status. After 14 days past due your account is suspended; after 60 days it may be archived.

6. Service availability

We aim for 99% best-effort uptime but make no contractual SLA at this price point. The service runs on Vercel and Supabase, both of which have their own uptime guarantees. If a meaningful outage affects you, contact us — we'll work in good faith to make it right.

7. Third-party integrations

The service integrates with Stripe (payments), QuickBooks (accounting), Gmail (email delivery), and GoHighLevel (CRM). When you connect these integrations, you authorize us to send and receive data on your behalf. These integrations are governed by their providers' terms; we're not responsible for outages or policy changes on their side.

8. AI features

The service includes AI-powered features (proposal block rewriting, transcript extraction). These features use Anthropic's Claude API. Inputs to AI features are not used to train models, but they do flow through Anthropic's infrastructure subject to their terms. Rate limits may apply to prevent abuse.

9. Termination

You can cancel your account at any time. We may suspend or terminate accounts that violate these terms (Section 3) or remain past due beyond 60 days. We'll provide notice and a chance to cure where reasonable.

On termination, you have 30 days to export your data before we begin permanent deletion.

10. Limitation of liability

To the maximum extent permitted by law: our total aggregate liability for any claim arising from or related to the service is limited to the total fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or incidental damages, lost profits, or lost data beyond what's recoverable through your account export.

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify and hold us harmless from any claim arising from your use of the service in violation of these terms or applicable law, including claims by your customers or third parties resulting from invoices or proposals you send through the service.

12. Changes

We may update these terms with at least 30 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance.

13. Governing law

These terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict-of-laws principles. Disputes will be resolved in the courts located in Edmonton, Alberta.
